2. Scope of Services

X Dynamics FZE provides IT infrastructure, software development (Laravel / SaaS), cloud hosting, backup, cybersecurity, and digital solutions. All engagements—whether purchased online, via quotation, or by invoice—are subject to these Terms unless a separate signed agreement states otherwise.

3. Acceptance of Terms

Use of our Services constitutes acceptance of these Terms and related policies. If you do not agree, discontinue use and notify us in writing.

4. Accounts and Access

Clients must provide accurate information and maintain credential confidentiality. Unauthorized use may result in suspension or termination.

5. Intellectual Property

All source code, designs, and materials developed by X Dynamics FZE remain our intellectual property unless expressly transferred after full payment.

6. Pricing and Payments

All prices are in AED. Invoices are due by the specified date; late payments may incur fees or service suspension. VAT (5 %) applies where required.

7. Refunds and Cancellations

Custom development, licensing, configuration, or digital products are non-refundable once delivered or activated. Service cancellations must be requested in writing at least 15 days before renewal; otherwise, the next billing cycle applies.

8. Service Activation & Support

Project timelines start after receiving requirements and payment. Standard support hours: Monday – Friday (10 AM – 7 PM GST).

9. Hosting and Cloud Services

Clients must maintain secure passwords and backups unless included in plan. We’re not liable for loss from external cyber incidents.

10. Data Protection and Privacy

We process data per UAE Data Protection laws and our Privacy Policy. Client data remains confidential and used only for service delivery.

11. Confidentiality

Both parties shall keep business and technical information confidential. This obligation survives termination.

12. Warranties and Limitations

Services are provided “as is.” Our total liability is limited to the amount paid for the specific service giving rise to the claim.

13. Indemnity

You agree to indemnify and hold harmless X Dynamics FZE and its employees against any claims arising from your misuse of our Services.

14. Third-Party Services

Integrations (e.g., Cloudflare, Odoo, Zoho) are used at your own risk. We do not control third-party availability or security.

15. Suspension & Termination

We may suspend or terminate services for non-payment, illegal activity, or security risks. All due amounts remain payable.

16. Force Majeure

We are not liable for delays caused by events beyond our control such as disasters, internet outages, or government restrictions.

17. Governing Law & Jurisdiction

These Terms are governed by UAE law. Disputes fall under the exclusive jurisdiction of Sharjah Courts.

18. Amendments

We may update these Terms at any time at xdynamics.ae/terms. Continued use means acceptance.
